ACCEPTANCE OF THE TERMS OF USE

This Website (together with the documents referred to on it) tells you (“you” means the party contracting with MemoZing) the terms and conditions on which we (“we”, “us”, and “our” means the e-learning website – https://www.memozing.com/; supplying learning programmes through the MEMOZING E-Learning Network.

Please read the Terms and Conditions carefully before you start to use the Website. By using the Website, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms and Conditions, and our Privacy Policy.

If you do not want to agree to these Terms and Conditions, and our Privacy Policy, you must not access or use the Website.

Also, read and understand these terms and conditions carefully before booking any courses on Our E-Learning Platform. You should understand that by booking any course with the MemoZing and using our website https://www.memozing.com/ (“Website”), you agree to be bound by these terms and conditions. You should print a copy of these terms and conditions for future reference. While we will make every effort to keep changes to a minimum, we may make amendments to the terms and conditions at any time to reflect changes in market conditions affecting our business, changes to technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our systems capabilities.

By continuing to use the Website subsequent to any changes, you agree to accept any changes made to the terms and conditions.

OWNERSHIP & COPYRIGHT

The Learning Academy website (https://www.memozing.com/) is owned by MEMOZING E-Learning Network. The content provided on the website together with all materials provided for e-learning including graphics, code, text products, software, audio, music and design are owned by either MemoZing or licensed to MemoZing by Our Affiliate Third party (which include; Vimeo for video interaction, Responsivevoice for Speech and Firebase as our Chat server). No content in whole or in part of Our website, or any MemoZing or Materials may be copied, reproduced, uploaded, posted, displayed, linked to or used in any way without the prior written permission of MemoZing. Any such use is strictly prohibited and will constitute an infringement of the copyright and other intellectual property rights of MemoZing, or in the case of material licensed to MemoZing, the owner of such materials. You agree not to access the MEMOZING E-Learning Network website materials by any means other than through the website. You also agree not to delete, change or modify in any way the copyright notices on the website.

LINKS FROM THE SITE

If our Website contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party websites linked to the Website, you do so entirely at your own volition and subject to the terms and conditions of use for such websites.

DESCRIPTION AND PRICING OF COURSES

Although we make every effort to ensure the prices listed are correct, mistakes may sometimes be made. If a mistake is discovered in the price of the e-learning programme that you have booked prior to confirmation of your booking, we will tell you and give you the option of either reconfirming your booking at the correct price or canceling your booking. In this instance, if we are unable to contact you or we receive no reply from you, your booking will be canceled. MemoZing reserves the right to change prices listed without notice. MemoZing also reserves the right to refuse to supply to any individual or company.

ONLINE COURSE PROGRAMME

MEMOZING E-Learning Network reserves the right to amend or cancel any course, course times, dates or published prices. Changes to course prices, times and dates will be advised before the course start date, and any course already paid in full will not be subject to the increased price. MemoZing does not accept any liability for reimbursement of any costs incurred whatsoever in relation to its training courses. Where a course has been canceled, registered clients will be offered an alternative date for the same course, a credit towards another course or a refund.

BOOKING INTO MEMOZING E-LEARNING PLATFORM

Bookings for the E-Learning courses can be made via our Website at the following link: https://www.memozing.com/; you can also contact us by email; help@MemoZing.com. For bookings on the website, please select the e-learning Course/programme that you require and follow the booking instructions step by step. If payment has been received in full, or a formal purchase order has been received by email or by post, the individuals’ place on the course will then be confirmed, and a binding contract will have been entered into between MemoZing and the booking party.

PAYMENT

If you are making a booking on our website, you can pay by PayPal as the only approved payment gateway at the moment on our website. Our online Payment transactions are handled in a secure environment. Payment must be made within 15 days from the date of the invoice or if the booking is made less than 15 days before the course date, prior to the course start date.

Please note that we do not accept payment by cash. You will not be eligible to participate in the e-learning course until full payment is received. If payment is not made prior to the Student Participating in the course, we reserve the right to refuse/deny participation or admission until payment has been made in full.

VAT & CHARGE

For users of our platform in other countries except Portugal, the Fees of our online courses stipulated on the website are exclusive of VAT, which will be shown separately on the invoice. Though, VAT or other administrative charge may be applicable in certain situations in the future for all users of the platform.

CANCELLATIONS

You can notify us of your wish to cancel your booking by sending us an email to help@MemoZing.com. All request for cancellation of booking(s) must be done at least 15 working days prior to the start of the E-Learning lecture/training. Student must include in the cancellation request; the booking details, course chosen, reason for cancellation, membership account details and the attachment of the proof of payment. Please, not that; any request received within 15 working days of the commencement of the Programme will not be addressed, and no refund will be given.

REFUNDS

If you wish to exercise your right to cancel your booking with MEMOZING E-Learning Network, MemoZing will refund the fees paid according to the above cancellation policy. If payment for the order was originally made by credit card, any refund will be made back to the same card. If payment for the order was made by another method, such as direct transfers, a refund will be made by direct bank transfer to a bank account that you elect or by crediting the MemoZing account of the paying Organisation/individual.

RETURNS OF STUDY MATERIAL

In the event of a cancellation of a booking with the MemoZing E-Learning Network. All electronic items/materials transferred to Students for the e-learning course will be deemed used and will be subject to appropriate deduction of fees in Refund Payment by MemoZing (if student qualify for a refund of booking).

WRITTEN COMMUNICATIONS

Applicable laws require that some of the information or communications we send to you should be in writing. When using our Website, you accept that communication with us will be mainly electronic. We will contact you by e-mail or provide you with information by posting notices on our website. For contractual purposes, you agree to this electronic means of communication, and you acknowledge that all contracts, notices, Booking Information and other communications that we provide to you electronically comply with any legal requirement that such communications be in writing. This condition does not affect your statutory rights.

NOTICES

All notices given by you to us must be addressed to MEMOZING E-Learning Network via our email, or Office Address. We may also give notice to you at either the e-mail or postal address you provide to us when placing an order. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an email is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.

REGISTRATION

In order to access the MEMOZING E-Learning Network Website (https://www.memozing.com/), you need to be registered. When Booking for a Course, purchasing the e-materials and other supporting products and services online; students will be asked to create their own username and password, and other relevant details which constitutes their registration. Where students fill in a booking form, they will be registered on MemoZing website and advised of their login details by automated email.

ONLINE CONDUCT

You may not use/access our website for any illegal or unauthorized purpose (including, uploading illegal audio, videos, documents, and intellectual content) nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). A breach or violation of any of the Terms will result in an immediate termination of your access to our platform.

USE OF MEMOZING E-LEARNING NETWORK WEBSITE

You are hereby granted a limited, personal, non-exclusive, and non-commercial license for the use of the MemoZing E-Learning Network website and e-learning materials. No material in whole or in part from the Website may be modified, copied, reproduced, re-published, uploaded, posted, transmitted or distributed in any way.

You agree not to use the Website:

  • In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the UK or other countries) Including, but not limited to GDPR compliance.
  • To exploit, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.
  • To send, knowingly receive, upload, download, use or re-use any material which does not comply with the Content Standards set out in these Terms and Conditions.
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter” or “spam” or any other similar solicitation.
  • To impersonate or attempt to impersonate MemoZing, our employee, another Student or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the preceding).
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the E-learning Platform, or which, as determined by us, may harm MemoZing or Students of the website or expose them to liability.
  • To use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use.
  • To use any robot, spider or another automatic device, process or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
  • To use any manual process to monitor or copy any of the material on the Website or for any other unauthorized purpose without our prior written consent.
  • To use any device, software or routine that interferes with the proper working of the Website.
  • To introduce any viruses, Trojan horses, worms, logic bombs or other material which is malicious or technologically harmful.
  • To attack the website via a denial-of-service attack or a distributed denial-of-service attack.

ILLEGAL, FRAUDULENT OR ILLEGITIMATE BEHAVIOR

Illegal, fraudulent or illegitimate behavior undermines the trust on which the MemoZing platform is based, and MEMOZING E-Learning Network will seek to enforce its rights to the full extent of the law or in equity. In addition to any other rights and remedies available to MEMOZING E-Learning Network by law or equity, the Company may suspend or deactivate any account(s) associated with this type of illegal or illegitimate activity, including without limitation fraud, abusing promotions, for purposes of circumventing or attempting to circumvent Company’s messaging tools or platform.

PASSWORD AND SECURITY

Once registered on MEMOZING E-Learning Network Website, you will have a user name and password. You should keep this information confidential and should not pass it on to any third party. Once you are logged in with this user name and password, you are entirely responsible for all activity that occurs under that account, and you agree to be responsible for any expense, loss or damage incurred by MemoZing, its employees, suppliers, agents, and licensors as a result of any misuse of your account. You agree to fully compensate MemoZing in relation to any such expense, loss or damage. You also agree to inform MemoZing in writing of any unauthorized use of your account or other breach of security which is known to you.

LIABILITY

Your rights as a consumer are protected under consumer rights legislation which guarantees that any items or services ordered from the Website will be fit for the purpose for which they were bought and will be of satisfactory quality. Whilst every effort is made to ensure that the access to the MemoZing Materials and the MemoZing website do not contain any error, defect, malfunction or corruption, MemoZing does not accept responsibility for any damage to or loss of data on your computer system, network or server that results from the download or use of the MemoZing Materials or any other software or material or use of the MEMOZING E-Learning Network website. Nor does MemoZing accept responsibility for loss of data including both data transmitted and other data held by you, or delay, or failure, in transmitting or receiving data, or indirect, or consequential losses arising from use of MemoZing Materials, the website, including loss of revenue, business, anticipated savings on profits.

MemoZing does not make any representation or warranty that access to the MemoZing Materials and E-Learning website will meet your expectations or requirements, or that any particular results will be obtained from their use.

INDEMNIFICATION

You agree to indemnify, protect and hold harmless to MEMOZING E-Learning Network, our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Use or the documents they incorporate by reference or your infringement of any law or the rights of a third-party.

TERMINATION

Your right to use the website (https://www.memozing.com/) and/or the MemoZing Materials, will be suspended or terminated immediately without notice by MemoZing if, you fail to comply with any term or provision of these terms and conditions, or any end user license in force, or if a competent regulatory authority requires MemoZing or any of its suppliers to do so. Upon termination, you must destroy all materials and associated documentation obtained from MemoZing website and all copies of such materials, and you agree that MemoZing may immediately deactivate your account and delete all records, files, and associated information.

AVAILABILITY

MemoZing endeavors to ensure that the website and the MemoZing Materials are available 24 hours a day 7 days a week. There will be occasions when the website will be interrupted for maintenance, upgrades and emergency repairs and you agree that MemoZing shall not be liable to you, or any third party, for any modification, suspension or discontinuance of the MemoZing website and/or the MemoZing Materials. Every step will be taken by MemoZing to minimize disruption. However, MemoZing cannot be held responsible for any disruptions that are inherent in the operation of the Internet and World Wide Web including viruses.

The personal data that we collect from you and hold is important to us and is handled in accordance with our Privacy Statement. We are committed to ensuring that your privacy is protected. Where we ask you to provide information by which you can be identified you can be assured that it will only be used in accordance with this Privacy Statement.

MISCELLANEOUS

These terms and conditions, and any end-user license agreement in force for MemoZing contain the full and complete understanding between the parties. They supersede prior arrangements and understandings whether written or oral appertaining to the subject matter of the terms. We have the right to revise and amend these Terms from time to time to reflect changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system's capabilities.

The terms and all representations, obligations, undertakings, and warranties contained in them, shall endure for the benefit of any successors and assignees of MemoZing.

GOVERNING LAW

These terms and conditions shall be governed by and construed in accordance with the laws of Portugal and you irrevocably submit to the exclusive jurisdiction of the courts of Portugal.
